Explanation of Responses:

1. Shares acquired through the executive's participation in an Employee Stock Purchase Plan (ESPP). The shares were granted under a transaction exempt under Rule 16b-3 under the Securities and Exchange Act of 1934, as amended (the Afor deferred reporting on Form 5 under Rule 16a-6 under the Exchange Act).

2. A previous Form 4 inadvertently overstated the reporting person's holdings by 66 shares. The total reported in column 5 of Table I has been adjusted to reflect the correct number of shares.
