1. Represents a gift of one (1) share to all current employees.

2. A portion of these securities are Restricted Stock Units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock.

3. This transaction represents a transfer of shares by the Reporting Person's Trust to the Reporting Person's Foundation.

4. These shares are held directly by the Donato Family Foundation. The Reporting Person may be deemed to have beneficial ownership of the securities held by the Foundation.

5. These shares are held directly by the Donato Generation Skipping Trust dtd 09/04/2020 for which the reporting person and his spouse serve as trustees. The reporting person may be deemed to have beneficial ownership of the securities held by the Trust.

SEC Form 5: Donato Craig gifted 40,000 shares, received a gift of 40,000 shares and acquired 1 shares, decreasing direct ownership by 4% to 1,083,098 units
