Explanation of Responses:

1. This was a non-discretionary adjustment caused by the provisions of the Internal Revenue Code that requires minimum annual distribution from a 401-K account. While the number of Old Republic shares held by the Trustee did not change, the equivalent number of Old Republic shares held in Mr. Dew's account were increased by this distribution.
