Explanation of Responses:

1. Since the reporting person's last report, 229,281 shares of Common Stock, which were indirectly beneficially owned by the reporting person through a grantor retained annuity trust, were transferred by such grantor retained annuity trust to the reporting person, in a transaction exempt from reporting under Section 16 of the Securities Exchange Act of 1934, and are now included in the amount of securities beneficially owned by the reporting person directly.

2. These shares of Common Stock are owned by a grantor retained annuity trust of which the reporting person is the sole trustee with sole voting and dispositive power over the shares.

3. The reporting person is the sole general partner of Horrigan Family Limited Partnership, with sole voting and dispositive power over the shares.

4. These shares of Common Stock are owned by a family trust of which the reporting person is the trustee with sole voting and dispositive power over the shares.

5. These shares of Common Stock are owned by family trusts of which the reporting person's spouse is a co-trustee with voting and dispositive power over the shares and as a result of which the reporting person may be deemed to have shared voting and dispositive power over the shares.
