Explanation of Responses:

1. The reported securities were received as the second installment of a good faith settlement of a previously contracted debt exempt from Section 16(b), the first installment of which was received and voluntarily reported on a Form 4 filed by the Reporting Persons on November 9, 2021. Such Form 4 inadvertently reported the exempt receipt of the first installment as a purchase.

2. Exercisable at any time at the sole discretion of the holder.

3. The reported securities are directly held by APSC Holdco II, L.P. ("APSC Holdco II") and separately reported in filings by APSC HoldCo II. Atlantic Park Strategic Capital Parallel Master Fund, L.P. ("Atlantic Park") is the sole beneficial owner of APSC Holdco II. Pursuant to an Investment Management Agreement, dated July 6, 2020, Atlantic Park and certain of its affiliates have delegated their voting and dispositive power over their direct and indirect investments (including the Shares) to the Reporting Person and GASC APF, L.P. and appointed each of them to jointly act as investment advisers.
