Explanation of Responses:

1. The reported shares are directly owned by a trust under which Mr. LaFoy is both the trustee and a beneficiary. Mr. LaFoy could be deemed to have indirect beneficial ownership of the shares reported herein.

2. The reported shares are held in an individual retirement account for the benefit of Mr. LaFoy.

3. Prior submissions with the Securities and Exchange Commission identified all shares as being held directly by Mr. LaFoy. This Form 5 reflects that certain shares (identified in footnotes (1) and (2) above) are held indirectly for the benefit of Mr. LaFoy.
