Explanation of Responses:

1. The Reporting Person previously reported total beneficial ownership of 112,646 shares of common stock, consisting of 91,646 shares of common stock held directly and 21,000 shares of common stock held indirectly through The Phanstiel Trust. The Reporting Person's total beneficial ownership of common stock remains the same as previously reported, but this Form 5 is being filed to correct the number of shares of common stock held directly by the Reporting Person and held indirectly by the Reporting Person through The Phanstiel Trust.
