On February 4, 2026, Core AI Holdings, Inc., a British Columbia, Canada corporation (the “Company”), issued a press release announcing that it entered into a Memorandum of Understanding with CSPM Resources SDN BHD, one of Malaysia’s most experienced and respected data center developers, to pursue next-generation AI-ready data center opportunities in the region.

A copy of the press release is included with this Report as Exhibit 99.1.
