Amendment to Articles of Association

The Articles of Association were amended in connection with the exercise of certain investor warrants. On November 4, 2025, the Company registered a share capital increase of nominal DKK 468,750 with the Danish Business Authority, corresponding to an increase in the Company’s share capital to nominal DKK 104,252,689, to reflect the issuance of 1,875,000 ordinary shares in connection with the exercise of certain holders of warrants against cash consideration of USD 101,625 (or approximately DKK 659,109.26 based on the applicable USD-DKK exchange rate on November 4, 2025).  

The amended Articles of Association are attached hereto as Exhibit 1.1.
