Entry into a Material Definitive Agreement.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Freight Technologies Inc. (the “Company”) announced that Mike Flinker, the Company’s President, tendered his resignation effective December 1, 2022, in order to pursue other personal projects. Mr. Flinker’s resignation was not the result of any dispute or disagreement with the Company or the Company’s board of directors on any matter relating to the operations, policies or practices of the Company.

In connection therewith, the Company has signed a Termination Agreement and Full and Final Release (the “Termination Agreement”) with Mr. Flinker which provide, inter alia, the payment of $55,000 (equivalent to three (3) months of his base salary pursuant to his Executive Services Agreement dated September 23, 2020) in exchange for a full and final release in favor of the Company.
