EXPLANATORY NOTE

Mixed Martial Arts Group Limited (the “Company”) confirms it has distributed a Notice of Annual General Meeting (the “Notice”) for its 2025 Annual General Meeting (the “2025 AGM”), and a proxy card. The 2025 AGM will be held on November 27, 2025 at 10:00 a.m. (AEDT).

The Notice for the 2025 AGM and the proxy card are furnished as Exhibit 99.1 to this Report on Form 6-K. The Company’s Annual Report for the year ended June 30, 2025 will be filed with the Australian Securities & Investments Commission on October 31, 2025 and will also be available on the Company’s investor relations website at https://ir.mma.inc/.
