Entry into Share Purchase Agreement

On June 9, 2025, Ohmyhome Limited (the “Company”) entered into a Share Purchase Agreement (the “Purchase Agreement”) with certain accredited investors named therein (the “Investors”), pursuant to which the Company agreed to sell and issue up to 16,666,667 ordinary shares to the Investors at a purchase price of US$0.18 per share, in a registered direct offering (the “Offering”).

The Offering was made pursuant to the Company’s existing shelf registration statement on Form F-3 (File No. 333-285637), which was declared effective on March 26, 2025 by the U.S. Securities and Exchange Commission (the “Registration Statement”). In respect of the Offering, a prospectus supplement to the Registration Statement is expected to be filed with the Commission on June 11, 2025. The closing of the Offering is expected to occur on or about June 11, 2025.

The foregoing descriptions of the Purchase Agreement are qualified in their entirety by reference to the full text of the Purchase Agreement, a form of which is attached to this Report of Foreign Private Issuer on Form 6-K as Exhibit 10.1 and incorporated herein by reference.
