Shareholders’ Meeting Resolutions of TSMC Arizona Corporation, a major subsidiary of TSMC
TSMC Arizona Corporation took the following actions and adopted the following resolution by written consent without a meeting on December 19, 2025, in lieu of the annual shareholder meeting:
•Election of Directors. Ray Chuang, Rose Castanares, Shu-Hua (Sylvia) Fang and Jen-Chau (Wendell) Huang were elected as directors of TSMC Arizona Corporation. The directors of TSMC Arizona Corporation remain unchanged.
