On July 1, 2025, Webus International Ltd. (the “Company”) has entered into a securities purchase agreement (the “Agreement”) with Ripple Strategy Holdings. The Agreement establishes a senior equity line of credit of up to US$100,000,000, subject to terms and conditions of the Agreement. The foregoing summary of the Agreement is subject to, and qualified in its entirety by, such document.
On July 1, 2025, the Company issued a press release announcing this Agreement. Copies of the Agreement and the press release are filed as Exhibits 99.1 and 99.2 to this report, respectively.
