Departure of Director

On April 30, 2025, Ms. Xiaomei Wu tendered her resignation as a member of the Board of Directors (the “Board”) of Xiao-I Corporation (the “Company”). Ms. Wu was not an independent director prior to her resignation from the Board. Ms. Xiaomei Wu’s decision to resign was not the result of any disagreement with the Company, the Board, management, or any matter relating to the Company’s operations, policies or practices.
