Enlight Renewable Energy Ltd. Announces the Results of the Public Tender in Israel for the
Purchase
of the Company’s Series D Notes and the Completion of the Offering
Tel Aviv, Israel, October 10, 2024, Enlight Renewable Energy Ltd. (NASDAQ: ENLT, TASE: ENLT) (the “Company”) announced today, further to the filing with TASE of a shelf offering report dated October 10, 2024 (the “Offering Report”) under the shelf prospectus dated August 28, 2024, that the public tender of the Company’s Series D Notes (the “Notes”),
by way of expansion of an existing Series D, have concluded.
Based on the results of the tender, the Company is expected to issue 591,016 Series D Notes (NIS 1 par value each) in the aggregate face value
of NIS 500 million (approximately $133 million). The price that was set in the tender was NIS 846 per Note, each was sold at a discount rate of 16%. The weighted discount rate of Series D Notes is 12.1%.
All of the Notes were ordered by Israeli institutional and classified investors as part of the institutional tender.
Each investor in the institutional phase of the offering was allocated 100% of its order.
The Company intends to use the net proceeds from the offering for investments in its large-scale portfolio in the United States, Europe and
MENA, and for other general corporate purposes. The Notes have a duration of 3.73 years.
Also, on October 10, 2024, “Midroog” confirmed an A2.il rating (stable) for the expansion of the Series D in a total amount of up to NIS 600
million face value of Notes.
The Notes will not be registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold in
the United States or to U.S. Persons (as defined in Regulation S promulgated under the Securities Act) without registration under the Securities Act or an exemption from the registration requirements of the Securities Act.
