(the “Company”) hereby announces that the shareholders of the Company approved all of the proposals brought before the adjourned annual general meeting of shareholders held on June 26, 2025 (the “Meeting”), by the respective requisite majority in accordance with the Israeli Companies Law, 5759-1999, and the Company’s amended and restated articles of association, as described in the Proxy Statement which was attached as Exhibit 99.1 to the Company’s Report of Foreign Private Issuer on Form 6-K, furnished to the Securities and Exchange Commission (the “SEC”) on May 21, 2025, and sent to shareholders in connection with the Meeting.

A copy of the Company’s amended and restated articles of association, approved by shareholders at the Meeting, is attached hereto as Exhibit 99.1.

A copy of the Company’s compensation policy, approved by shareholders at the Meeting, is attached hereto as Exhibit 99.2.
