The securities to be registered hereby are (i) the shares of Class A common stock, par value $0.0001 per share (the “Class A Common Stock”) of AleAnna, Inc., a Delaware corporation (f/k/a Swiftmerge Acquisition Corp.) (the “Company”) and (ii) warrants to purchase shares of Class A Common Stock (the “Warrants”) of the Company. The description of the Class A Common Stock and the Warrants set forth under the heading “Description of Securities of the Surviving PubCo’s Securities” in the final prospectus and definitive proxy statement, dated November 21, 2024, filed with the Securities and Exchange Commission (the “SEC”) on November 21, 2024 and forming a part of the Company’s registration statement on Form S-4 originally filed with the SEC on July 5, 2024, as amended, (File No. 333-280699) (the “Registration Statement”) to which this Form 8-A relates, is incorporated by reference.
