Item 4.01 Changes in Registrant’s Certifying Accountant.

(a) Dismissal of Previous Independent Registered Public Accounting Firm

On February 18, 2021, the Audit Committee (the “Audit Committee”) of the Board of Directors (the “Board”) of China XD Plastics Company Limited (the “Company”) and the Board both approved the dismissal of KPMG Huazhen LLP (“ KPMG”) as the Company’s independent registered public accounting firm, effective February 18, 2021.

The audit reports of KPMG on the Company’s consolidated financial statements as of and for the years ended December 31, 2019 and 2018 did not contain any adverse opinion or a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.

During the two fiscal years ended December 31, 2019 and 2018, and the subsequent interim period through February 18, 2021, (1) there were no disagreements with KPMG on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures that, if not resolved to KPMG’s satisfaction, would have caused KPMG to make reference in connection with their opinion to the subject matter of the disagreement, and (2) there were no reportable events except that KPMG advised the Company of a material weakness in the Company’s internal control of financial reporting related to the lack of sufficient accounting and financial reporting personnel to formalize certain key controls over the financial reporting process and report financial information based on U.S. generally accepted accounting principles and SEC reporting requirements.

A letter from KPMG is attached as Exhibit 16.1 to this Form 8-K.

(b) Engagement of New Independent Registered Public Accounting Firm

On February 18, 2021, the Audit Committee and the Board both approved the appointment of Friedman LLP, effective February 18, 2011, as the Company’s independent registered public accounting firm for the fiscal year ended December 31, 2020.

During the two fiscal years ended December 31, 2019 and 2018, and the subsequent interim period through February 18, 2021, neither the Company nor anyone acting on its behalf consulted with Friedman LLP regarding any of the matters or events set forth in Item 304(a)(2)(i) and (ii) of Regulation S-K.
