Other Events.

On February 2, 2026, BlackLine, Inc. (“BlackLine”) issued a press release concerning certain actions taken by Engaged Capital, LLC. The full text of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Additional Information and Where to Find It

BlackLine, its directors and certain executive officers are participants in the solicitation of proxies from stockholders in connection with BlackLine’s 2026 Annual Meeting of Stockholders (the “Annual Meeting”).
