Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 17, 2024, the Board of Trust Managers of Camden Property Trust (the “Company”) appointed D. Keith Oden from Executive Vice Chairman of the Board and President to Executive Vice Chairman of the Board, and Alexander J. Jessett from Executive Vice President-Chief Financial Officer to President and Chief Financial Officer.

Effective as of April 17, 2024, the Company and each of Messrs. Oden and Jessett executed a letter agreement to reflect the respective changes in the positions described above, which will be filed as exhibits to the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2024.
