Item 8.01. Other Events.

The Board of Directors of Civista Bancshares, Inc., Sandusky, Ohio has approved a quarterly dividend of 17 cents per common share, an increase of $0.01 from prior quarter, to shareholders of record February 4, 2025, payable February 18, 2025. A copy of the press release is attached hereto as Exhibit 99.1.

Civista Bancshares, Inc., is a $4.1 billion financial holding company headquartered in Sandusky, Ohio. Its primary subsidiary, Civista Bank, was founded in 1884 and provides full-service banking, commercial lending, mortgage, and wealth management services.
