Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 12, 2024, Richard L. Greslick, Jr., Senior Executive Vice President, Chief Administrative Officer and Secretary of CNB Financial Corporation (the “Company”), informed the Company that he is resigning from all positions he holds with the Company, effective as of November 22, 2024. Mr. Greslick’s decision to resign from the Company is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
