Regulation FD Disclosure.

On December 17, 2025, CVB Financial Corp. (the “Company” or “CVBF”) together with Citizens Business Bank, National Association, a national bank and wholly-owned subsidiary of Company (“Citizens”) and Heritage Commerce Corp, a California corporation (“Heritage”) together with Heritage Bank of Commerce, a California banking corporation and wholly-owned subsidiary of Heritage (“Heritage Bank”), issued a joint press release announcing the execution of an Agreement and Plan of Reorganization and Merger (the “Reorganization Agreement”) dated as of December 17, 2025 by and between CVBF and Heritage. Pursuant to the Reorganization Agreement, upon the terms and subject to the conditions set forth therein, Heritage will merge with and into the Company, with the Company continuing as the surviving corporation (the “Merger”). Promptly following the Merger, Heritage Bank will merge with and into Citizens, with Citizens continuing as the surviving bank (the “Bank Merger” and with the Merger, the “Mergers”). A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

In addition, the Company provided supplemental information regarding the proposed transaction in connection with presentations to analysts and investors. A copy of the investor presentation is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
