Item 2.02 Results of Operations and Financial Condition

On March 15, 2021, Enzo Biochem, Inc. (the “Company”) issued a press release announcing its operating results for its second fiscal quarter ended January 31, 2021. A copy of the press release is furnished as Exhibit 99.1 attached hereto and is incorporated by reference in its entirety into this item 2.02 of this Current Report on Form 8-K.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 15, 2021, Enzo Biochem, Inc. (the “Company”) issued a press release announcing that Dr. Elazar Rabbani, Founder and CEO, will step down as CEO and transition to a scientific role with the Company once a qualified successor is identified and hired by the Board. Dr. Rabbani will remain as a Director of the Company. A copy of the press release is furnished as Exhibit 99.1 attached hereto and is incorporated by reference in its entirety into this item 5.02 of this Current Report on Form 8-K.
