Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 22, 2025, Melvin T. Stith, Ph.D. notified the board of directors (the “Board”) of Flowers Foods, Inc. (the “Company”) that he will retire from the Board, effective as of December 31, 2025. Dr. Stith has served as a director since 2004 and currently serves as a member of the Board’s compensation and human capital committee and nominating/corporate governance committee. Dr. Stith’s decision to retire is not due to any disagreement with the Board or the Company.
