Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 19, 2025, R. Steve Kinsey, chief financial officer of Flowers Foods, Inc. (the “Company”), notified the Company that he will retire from this position, effective as of December 31, 2025, after 36 years of service. Mr. Kinsey will continue to serve as chief financial officer of the Company through his retirement on December 31, 2025, or such earlier date as determined by Mr. Kinsey or the Company. After his retirement, Mr. Kinsey expects to serve in an advisory role with the Company for a period of time to support the transition.
