Other Events.

On August 11, 2025, HF Sinclair Corporation (the “Corporation”) issued a press release announcing that the Corporation has commenced a cash tender offer (the “Tender Offer”) to purchase any and all of the Corporation’s (i) 5.875% Senior Notes due 2026 and (ii) 6.375% Senior Notes due 2027. The Tender Offer is subject to the terms and conditions set forth in an Offer to Purchase, dated August 11, 2025.
