Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 24, 2024, John G. Russell notified Hubbell Incorporated (“Hubbell”) of his intention to retire and not stand for reelection upon the expiration of his term as a Director at Hubbell’s 2024 Annual Meeting of Shareholders. Mr. Russell’s decision to not stand for reelection to the Board of Directors did not result from any disagreement with Hubbell.
