Other Events.

II-VI issued a press release on March 16, 2021 providing additional information regarding the terms of the equity investment in II-VI by funds affiliated with Bain Capital, as previously disclosed by the Company (the “Preferred Equity Investment”). A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

The Company has also posted a slide presentation prepared by Bain Capital relating to the Preferred Equity Investment. It is attached hereto as Exhibit 99.2 and incorporated herein by reference.
