Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 23, 2025, the board of directors of Morgan Stanley Direct Lending Fund (the “Company”) adopted and approved the Company’s Second Amended and Restated Bylaws, effective as of such date, in order to remove Section 2.13, Ratification, and Section 3.14, Interested Directors. A copy of the Second Amended and Restated Bylaws is attached to this report as Exhibit 3.1, which is incorporated by reference herein.
