Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 26, 2021, Malcolm Persen notified Nephros, Inc. (the “Company”) of his intention to resign from the Board of Directors of the Company no later than August 2021. Mr. Persen’s specific resignation date will be determined in the coming weeks. Mr. Persen’s decision to resign was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
