Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 19, 2021, Stephen W. Bershad, the Chairman of the Board of Novanta Inc. (the “Company”), informed the Board of Directors (the “Board”) of his intent to retire from the Board following the 2021 Annual and Special Meeting of Shareholders in May 2021 (the “2021 Annual Meeting”), and therefore that he will not stand for reelection to the Board at the 2021 Annual Meeting. Mr. Bershad's decision to retire was not the result of any disagreement with the policies, procedures or practices of the Company.
