Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 22, 2021, Shanoop Kothari notified NuZee, Inc. (the “Company”) of his resignation as the Company’s Chief Financial Officer, effective as of the Effective Date (as defined herein). Mr. Kothari’s resignation will become effective (the “Effective Date”) on the earlier of August 16, 2021 or the date that the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2021 (the “Form 10-Q”) is filed with the Securities and Exchange Commission (the “SEC”). The Company expects to enter into a customary separation agreement with Mr. Kothari prior to the Effective Date. The Company has initiated the process to engage a new Chief Financial Officer.
