Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 6, 2024, Ross Jatou, Senior Vice President and General Manager, Intelligent Sensing Group, of ON Semiconductor Corporation (the “Company”), notified the Company of his resignation from all positions with the Company and its affiliates (together, “onsemi”), effective on or about February 22, 2024. Mr. Jatou advised onsemi that he intends to pursue other employment opportunities and that his resignation is not due to any disagreements with onsemi.
