Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b) On October 1, 2024, Atsushi Abe, a member of the board of directors (the “Board”) of ON Semiconductor Corporation (the “Company”), gave notice of his intent to resign from the Board and its committees, effective October 11, 2024. Mr. Abe informed the Company that his decision to resign was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company and the Board thank Mr. Abe for his valuable insights and significant contributions made during his thirteen years of Board service.
