Item 8.01 Other Events.

On March 22, 2021, we announced that we intend to offer, subject to market conditions and other factors, $500 million aggregate principal amount of convertible senior notes due 2027 (the “Notes”). We intend to offer the Notes to the initial purchasers of the Notes pursuant to Section 4(a)(2) of the Securities Act of 1933 (the "Securities Act") and expect any resale of the Notes to be to qualified institutional buyers pursuant to Rule 144A under the Securities Act. We also intend to grant to the initial purchasers of the Notes an option to purchase up to an additional $75 million aggregate principal amount of Notes.

A copy of the press release announcing the proposed offering is filed as exhibit 99.1 to this report and is incorporated into this report by reference.
