Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 28, 2022, Phillips S. Peter, age 90, who served as a director of SKYX Platforms Corp. (the “Company”) since November 2012, notified the Company that due to health issues and late age he will be retiring from the Company’s board of directors, effective immediately. Mr. Peter’s retirement is not due to any disagreement with the Company. The Company wishes Mr. Peter a fast recovery and is grateful to Mr. Peter for his many years of service on its board of directors.
