Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 27, 2022, Jason Knapp notified Sunworks, Inc. (the “Company”) that he will resign from his position as President of Solcius, LLC, a wholly owned subsidiary of the Company, effective July 1, 2022. The Board of Directors will evaluate whether a replacement for Mr. Knapp is appropriate and, if so, will promptly undertake a search for candidates. In the interim, Gaylon Morris, the Company’s Chief Executive Officer, will oversee the operations of Solcius.
