On August 25, 2025, the Board of Directors of Verizon Communications Inc. (Verizon) elected Jennifer K. Mann, Executive Vice President and President, North America Operating Unit of The Coca-Cola Company, as a director, effective on that date. As a director, Ms. Mann will participate in the compensation program applicable to all non-employee directors, which is described under the heading “Non-Employee Director Compensation” in Verizon’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on April 7, 2025. Ms. Mann has not yet been named to a Board committee.
