Item 8.01 Other Events.

On August 5, 2024, Vontier Corporation (the “Company”) announced that it had entered into an accelerated share repurchase agreement with Goldman Sachs & Co to repurchase $100 million in the aggregate of the Company’s outstanding shares of common stock, par value $0.0001 per share. The Company will repurchase the shares as part of its previously approved $500 million share repurchase authorization announced in May 2021 and replenished in May 2022.
