EXPLANATORY NOTE

Learn CW Investment Corporation (the “Registrant”) is filing this Registration Statement on Form 8-A in connection with the transfer of the listing of its Class A ordinary shares, par value $0.0001 per share (the “Class A Ordinary Shares”), from the New York Stock Exchange (the “NYSE”) to the Nasdaq Stock Market LLC (“Nasdaq”). The Registrant expects the listing and trading of its Class A Ordinary Shares on the NYSE to cease at the close of trading on August 23, 2024, and that trading will begin on Nasdaq at market open on August 26, 2024.

The description of the Registrant’s Class A Ordinary Shares included in Exhibit 4.5 to the Registrant’s Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (File No. 001-40885), filed with the Securities and Exchange Commission on April 4, 2024, is incorporated herein by reference, except that any reference to the NYSE is hereby amended to refer to Nasdaq.
