Item 2.02 Results of Operation and Financial Condition
On February 23, 2021, Hercules Capital, Inc. (the “Company”) issued a press release announcing its earnings for the quarter and year ended December 31, 2020. The text of the press release is included as an exhibit to this Form 8-K.

On February 22, 2021, the Company announced that its Board of Directors has declared a quarterly dividend of $0.32 per share and a supplemental dividend of $0.05 per share, payable in such amounts and on such dates to shareholders, as forth below.
