On June 11, 2025, Canadian Pacific Kansas City Limited (the “Corporation”) issued a press release announcing the offering (the “Canadian offering”) of CAD$500,000,000 of 4.00% Notes due 2032, CAD$600,000,000 of 4.40% Notes due 2036 and CAD$300,000,000 of 4.80% Notes due 2055 (collectively, the “Canadian Notes”). The Canadian Notes will be issued by Canadian Pacific Railway Company, a wholly-owned subsidiary of the Corporation, and guaranteed by the Corporation. A copy of this press release is attached as Exhibit 99.1.
The securities issued under the Canadian offering have not been registered under the U.S. Securities Act of 1933, as amended, or any state securities laws, and may not be offered or sold in the United States or to U.S. persons without registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the U.S. Securities Act of 1933 and applicable securities laws.
