On April 30, 2025, General Stanley A. McChrystal (United States Army-Retired), a member of the Board of Directors (the “Board”) of FiscalNote Holdings, Inc. (the “Company”), and a member of the Corporate Governance Committee and Compensation Committee of the Board, notified the Company of his decision to resign as a director effective on May 29, 2025, in order to focus on other professional commitments. His decision is not due to any disagreement with the Company on any matter relating to its operations, policies or practices. Gen. McChrystal joined the Board in 2015 and provided essential guidance to the founders and management as the Company evolved from its earliest stages through today. The Company is grateful to Gen. McChrystal for his service as a director over the past ten years.
Following Gen. McChrystal’s departure, the size of the Board will be reduced to eight members, consistent with the Company’s recent divestitures of non-core businesses.
