Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 8, 2024 Darryl E. Mast, a member of the Board of Directors (“Board”) of Middlefield Banc Corp. (the “Company”), notified the Company of his decision to not run for reelection as a Board member for the Company at its 2025 Annual Meeting, which will also be Mr. Mast’s final day as a Board member. The action of Mr. Mast was for personal reasons and did not result from any disagreements with management or the Board. Mr. Mast has served as a director of the Company since 2013 and served as a member of the Company’s Audit and Executive Committees as well as Chair of the Risk and Compliance Committee for The Middlefield Banking Company.
