    On May 28, 2024, Nordson Corporation, an Ohio corporation (“Nordson”) issued a press release announcing the entry into an Agreement and Plan of Merger, dated as of May 28, 2024 (the “Merger Agreement”), by and among Nordson, Alpha Medical Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Nordson (“Merger Sub”), and Atrion Corporation, a Delaware corporation (“Atrion”), pursuant to which, among other things, on the terms and subject to the conditions set forth in the Merger Agreement, Merger Sub will merge with and into Atrion with Atrion surviving as a wholly owned subsidiary of Nordson. The press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference. Nordson provided supplemental information regarding the proposed transaction in connection with presentations to analysts and investors.
