Item 8.01 Other Events.
As previously disclosed, SP Plus Corporation, a Delaware corporation (“SP+”), entered into an Agreement and Plan of Merger, dated as of October 4, 2023 (the “Merger Agreement”), with Metropolis Technologies, Inc., a Delaware corporation (“Parent”), and Schwinger Merger Sub Inc., a Delaware corporation and a direct, wholly owned subsidiary of Parent (“Merger Sub”), providing for the merger of Merger Sub with and into SP+ pursuant to the General Corporation Law of the State of Delaware, upon the terms and subject to the conditions set forth in the Merger Agreement (the “Merger”), with SP+ surviving the Merger as a direct wholly owned subsidiary of Parent.
On May 10, 2024, SP+ received notification from the Antitrust Division of the Department of Justice that the request for early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, was granted effective May 10, 2024. SP+ and Parent currently anticipate that the closing of the Merger will occur in the near future, subject to the satisfaction or waiver of the remaining conditions to closing set forth in the Merger Agreement.
