On January 10, 2025 UMB Financial Corporation (“UMB”) and Heartland Financial USA, Inc. (“HTLF”) issued a joint press release announcing that they have received the necessary regulatory approvals from the Office of the Comptroller of the Currency and the Board of Governors of the Federal Reserve System and to complete the previously announced mergers between UMB and HTLF as well as their respective banking subsidiaries (together, the “Mergers”), pursuant to the Agreement and Plan of Merger, dated as of April 28, 2024, by and among HTLF, UMB and Blue Sky Merger Sub Inc. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
All required regulatory approvals to complete the Mergers have now been received. UMB and HTLF expect to complete the Mergers on or around January 31, 2025, pending satisfaction or waiver of the remaining customary closing conditions.
