From 1997 to 2001 he served as President, Bristol Myers Squibb Oncology/Immunology/Oncology Therapeutics Network (“OTN”) and also as President of Global Marketing from 2000 to 2001. | | The performance period applicable to the PSUs will end on the change in control and the share price appreciation targets will be assessed using the per share value received by a holder of our ordinary shares in such change in control (the “CIC Value”). If the CIC Value is less than the closing price of an ordinary share on the date of grant of the PSUs of $10.04 per share (the “Base Value”), the PSUs will be forfeited in their entirety. At a CIC Value in between the Base Value and one of the share appreciation targets applicable to the award, achievement will be determined using straight-line interpolation.
